Klokin Terms of Service
1. Acceptance of Terms
Welcome to Klokin ("we," "our," or "us"). By accessing or using our smart geofence attendance management system with facial recognition technology (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access or use the Service.
Note: These Terms govern your use of Klokin's services. If you are using Klokin as part of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
Klokin provides a comprehensive attendance management solution that includes:
- Smart Geofencing: Location-based attendance verification
- Facial Recognition: Biometric verification for attendance
- Mobile Applications: For staff clock-in/out functionality
- Web Dashboard: For administrators and management
- Reporting Tools: Automated attendance reports and analytics
- Technical Support: Customer support and maintenance services
The Service is designed for government institutions, schools, NGOs, private organizations, and associations.
3. Account Registration and Security
3.1 Account Creation
To use Klokin's services, organizations must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your account credentials
- Accept responsibility for all activities that occur under your account
3.2 Organizational Responsibility
Organizations using Klokin are responsible for:
- Obtaining necessary consents from their staff for data collection and processing as required by applicable laws
- Ensuring compliance with all applicable labor laws and regulations
- Implementing appropriate internal policies for attendance management
- Training staff on proper use of the Klokin system
4. User Responsibilities and Acceptable Use
4.1 Acceptable Use
You agree to use Klokin only for lawful purposes and in compliance with all applicable laws and regulations. You will not:
- Use the Service for any illegal or unauthorized purpose
- Violate any laws in your jurisdiction (including copyright laws)
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or servers connected to the Service
- Use the Service to harass, abuse, or harm another person
4.2 Data Accuracy
Organizations are responsible for:
- The accuracy of all data entered into the system
- Maintaining backup copies of important data
- Ensuring data entered complies with applicable laws
5. Intellectual Property Rights
5.1 Klokin's Intellectual Property
Klokin and its original content, features, and functionality are owned by Proodent IT Solutions and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. This includes:
- The Klokin software and mobile applications
- Website design and content
- Documentation and training materials
- Branding and logos
5.2 Your Data
Organizations retain ownership of their data. Klokin claims no ownership rights over organizational data. However, by using the Service, you grant Klokin a worldwide, non-exclusive, royalty-free license to:
- Use, store, and process your data to provide and improve the Service
- Generate aggregated, anonymized insights that do not identify your organization
6. Data Protection and Privacy
6.1 Security Measures
Klokin implements industry-standard security measures to protect data, including:
- Encryption of data in transit and at rest
- Regular security audits and vulnerability assessments
- Access controls and authentication mechanisms
- Secure data center facilities
However, no method of transmission over the Internet or electronic storage is 100% secure.
7.2 Privacy Compliance
By using Klokin, you acknowledge that you have read and understood our Privacy Policy. Organizations using Klokin are responsible for complying with applicable data protection laws regarding their staff's personal data.
8. Service Level Agreement
8.1 Uptime Commitment
Klokin aims for 99.5% uptime for its core services. This excludes:
- Scheduled maintenance (communicated at least 24 hours in advance)
- Circumstances beyond our reasonable control
- Issues caused by user actions or third-party services
8.2 Support Services
Technical support is available:
- Standard Support: Mon-Fri, 8:00 AM - 6:00 PM GMT
- Priority Support: 24/7 for Professional and Enterprise plans
- Response Times: Vary by plan level and issue severity
9. Termination and Cancellation
9.1 Termination Rights
- By You: You may terminate your subscription with 30 days written notice
- By Klokin: We may terminate service immediately for violation of these Terms or illegal activities
- For Non-Payment: Service may be suspended for non-payment of fees
9.2 Data After Termination
Upon termination:
- Organizations may request their data in a standard format (CSV, JSON, or PDF)
- Data will be available for download for 30 days after termination
- Data will be permanently deleted from our servers 90 days after termination
- Backup copies may be retained for up to 12 months for disaster recovery purposes
9.3 Service Renewal
Renewal of service must be done on or before expiration date to avoid service interruption.
10. Limitation of Liability
10.1 Liability Cap
Klokin's total liability for any claim arising from or related to these Terms shall not exceed the amount paid by the organization in the 12 months preceding the claim.
10.2 Exclusion of Damages
To the fullest extent permitted by applicable law, Klokin shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages resulting from third-party services or integrations
11. Disclaimers
11.1 Service "As Is"
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. Klokin does not warrant that:
- The Service will be uninterrupted, timely, secure, or error-free
- Results from using the Service will be accurate or reliable
- The Service will meet your specific requirements
11.2 No Professional Advice
Klokin provides attendance management tools, not professional legal, HR, or compliance advice. You are responsible for ensuring your use of Klokin complies with applicable laws and regulations.
12. Indemnification
You agree to indemnify and hold harmless Klokin, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of a third party
- Your violation of any applicable laws or regulations
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Ghana, without regard to its conflict of law provisions.
13.2 Dispute Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms, the parties agree to:
- First attempt to resolve the dispute through informal negotiation
- If unresolved, pursue mediation with a mutually agreed mediator
- As a last resort, submit to the exclusive jurisdiction of the courts of Accra, Ghana
14. Changes to Terms
Klokin reserves the right to modify these Terms at any time. We will provide notice of significant changes:
- By posting the updated Terms on our website
- By sending email notifications to account administrators
- By updating the "Last Updated" date at the top of these Terms
Your continued use of the Service after any changes constitutes acceptance of the new Terms.
